American Fusion Clears FINRA Hurdle, Advances OTCQB Application

American Fusion Inc. (OTC: AMFN), a developer of next-generation fusion energy technologies, announced that the Financial Industry Regulatory Authority (FINRA) has cleared the Form 211 filed on its behalf by Alpine Securities Corporation pursuant to Rule 15c2-11 under the Securities Exchange Act of 1934. This clearance permits Alpine, as the company's sponsoring market maker, to initiate proprietary priced quotations in AMFN common stock and resolves the final open item previously identified in American Fusion's OTCQB Venture Market application process.

The company believes it is now in the final stages of that process and intends to work with Alpine and OTC Markets Group to complete the remaining administrative steps, with OTCQB qualification still subject to final review and approval. The OTCQB is a venture market designed for early-stage and developing U.S. and international companies, and being quoted on it can enhance visibility and liquidity for shareholders.

American Fusion said the Form 211 clearance and contemplated advancement to OTCQB are components of its broader capital markets strategy and are separate from its planned future uplisting to a national securities exchange. The company has engaged Lucosky Brookman LLP as securities and capital markets counsel for work related to a new SEC registration statement and future exchange listing application and intends to evaluate the Nasdaq Capital Market and Texas Stock Exchange, among other potential venues. No determination regarding a future listing venue has been made.

The company is advancing the Texatron(TM) Fusion Engine(TM), a neutronic fusion platform designed for modular, infrastructure-grade deployment across industrial, commercial, and grid-constrained applications. Its development strategy emphasizes system-level engineering, disciplined intellectual property protection, and scalable architectures intended to support long-term commercial operation, while maintaining a focus on capital discipline and transparent corporate governance.

The news is significant for investors and the broader energy sector, as it marks a milestone in American Fusion's efforts to gain public market traction and potentially accelerate the commercialization of its fusion technology.
