Beeline Holdings Reports 57% Revenue Growth in Q2 2026, Advances TYTL Acquisition

Beeline Holdings (NASDAQ: BLNE), a technology-driven mortgage platform, reported second-quarter 2026 net revenue of $2.6 million, a 57% increase year over year. The company also narrowed its net loss to $4 million from $5.3 million in the first quarter, and its adjusted EBITDA loss improved to $2.6 million from $3 million. Operating margins increased 9.4% from the previous quarter, and the company ended June with $1.5 million in cash, $50.5 million in shareholders’ equity, and no corporate debt.

Beeline said July revenue is expected to be its highest of the year, with July operating margin projected to be its highest since inception. The company continues to advance BeelineEquity, its fractional home equity offering developed in partnership with TYTL Holdings, Inc. Recently, Beeline announced a non-binding letter of intent to acquire TYTL in an all-stock business combination. The proposed combination would add TYTL’s blockchain-enabled residential equity and digital securities platform, which is expected to generate approximately three times more revenue per transaction.

CEO Nick Liuzza also invested $500,000 in Beeline through a convertible note that automatically converts into common stock at the higher of $1.50 per share or the applicable five-day closing VWAP beginning Aug. 12. This investment signals management confidence in the company's growth trajectory and strategic direction.

The proposed acquisition of TYTL could significantly enhance Beeline's revenue potential by integrating a platform that leverages blockchain technology for residential equity. This move aligns with Beeline's focus on simplifying home financing through AI-powered digital mortgage origination, Non-QM lending, title, and settlement services. By incorporating TYTL's technology, Beeline aims to offer innovative fractional home equity solutions, potentially opening new revenue streams and expanding its market reach.

The company's improved financial performance and strategic initiatives come at a time when the mortgage industry is increasingly adopting digital and blockchain-based solutions. Beeline's revenue growth and margin improvements suggest that its technology-driven approach is gaining traction, despite ongoing net losses. The company's cash position of $1.5 million and shareholders' equity of $50.5 million provide a foundation for continued investment in growth initiatives.

Investors should note that the acquisition is subject to due diligence and final agreements, and the non-binding letter of intent does not guarantee completion. However, if successful, the combination could create a more diversified revenue model and position Beeline as a leader in the emerging fractional home equity market.

The company's forward-looking statements involve risks and uncertainties, including factors beyond management's control. These are detailed in Beeline's most recent Annual Report on Form 10-K and subsequent quarterly reports filed with the SEC. Investors are cautioned not to place undue reliance on these forward-looking statements.
