Datavault AI Signs Letter of Intent to Acquire 19.9% Stake in DataMEDS AI

Datavault AI Inc. (NASDAQ: DVLT) has entered a nonbinding letter of intent to acquire a 19.9% equity interest in DataMEDS AI Inc. (NASDAQ: MEDS), the company announced. The consideration is an expansion of the two firms' existing technology license, a structure Datavault said would let it keep ownership of its underlying intellectual property while potentially generating royalty revenue from commercialization of the licensed technologies.

The deal matters because it shifts the cost and risk of bringing health-data products to market onto DataMEDS. Under the proposed terms, DataMEDS would assume commercialization costs, while Datavault AI would hold the IP and receive royalties. Datavault would also gain the right to designate one director to the DataMEDS board after closing, giving it a voice in how the licensed technology is deployed.

The expanded license would build on DataMEDS' existing PharmacyChain platform and EinsteinRx AI capabilities, adding Datavault AI Health technologies designed to support patient-controlled access, management, monetization and tokenization of health data across pharmacy, laboratory, wearable and other health care environments. That scope touches a sensitive area of the digital economy: who controls and profits from personal health information.

For readers and investors, the announcement offers a test case for how AI and Web 3.0 companies can monetize health data without selling the underlying assets outright. Datavault AI (NASDAQ: DVLT) describes itself as a provider of AI-driven data experiences, valuation and monetization for the Web 3.0 environment, with cloud-based tools spanning its Acoustic Sciences and Data Sciences divisions. Its Information Data Exchange enables digital twins and licensing of name, image and likeness by attaching physical objects to immutable metadata. More detail is available at https://dvlt.ai.

The initiative is part of broader efforts by DataMEDS to expand its health care technology capabilities through arrangements with several companies, including EOS Technology Holdings, Scilex Holding Company, HealthBridge Advisors and REBOOT Health AI. That roster suggests DataMEDS is assembling an ecosystem rather than a single product, which could amplify the reach of Datavault's licensed technology if the collaborations mature.

Timing remains uncertain. Datavault said it believes a fourth-quarter 2026 closing is achievable, subject to due diligence, definitive agreements and customary closing conditions. The letter of intent does not obligate either party to complete the transaction, and the company's own coverage notes that the latest news and updates relating to DVLT are available in its newsroom at https://ibn.fm/DVLT.
