Greenland Mines Announces Public Offering to Fund Rare Earth Acquisition

Greenland Mines (NASDAQ: GRML), a critical minerals developer aligned with Western interests, has announced its intention to conduct a public offering of shares of common stock or common stock equivalents. The company plans to use the net proceeds, along with existing cash and cash equivalents, to fund the acquisition of the Sarfartoq Nd-Pr Rare Earth Element Project, as well as for working capital and other general corporate purposes. The offering is subject to market and other conditions, and there is no assurance regarding its completion, size, or terms. A.G.P./Alliance Global Partners is serving as the sole placement agent.

This move comes as Western nations seek to reduce their dependence on China for rare earth elements, which are critical for technologies such as electric vehicles, wind turbines, and defense systems. The Sarfartoq project, located in southwest Greenland, is a neodymium-praseodymium (Nd-Pr) rare earths project, which are key components in permanent magnets used in these applications. By acquiring this project, Greenland Mines aims to strengthen its position in the rare earth supply chain and contribute to the broader goal of diversifying sources of these strategic materials.

Greenland Mines operates with two divisions: Mining, focusing on the exploration and development of the Skaergaard Project in southeast Greenland and, subject to closing of the previously announced transaction, the Sarfartoq project; and Biotech, which includes Klotho’s KLTO-202 primary indication for ALS. The company’s strategy is centered on building a multi-asset platform with exposure to rare earth magnet materials, precious metals, and selected midstream processing opportunities, while advancing its broader North Atlantic Critical Metals Corridor vision linking Greenland resources with allied downstream jurisdictions and industrial infrastructure.

The success of this offering is crucial for Greenland Mines to complete the Sarfartoq acquisition, which would significantly expand its rare earth portfolio. The company has not provided specific terms of the offering, and it remains subject to market conditions. Investors are advised that forward-looking statements in this announcement involve risks and uncertainties that could cause actual results to differ materially from those expressed or implied. These include factors beyond management's control, as detailed in the company's filings with the SEC.
