Greenland Mines Ltd (NASDAQ: GRML), a Western-aligned critical minerals developer, has announced its intention to conduct a public offering of shares of common stock or common stock equivalents. The company plans to use the net proceeds from the offering, along with existing cash and cash equivalents, to fund the acquisition of the Sarfartoq Nd-Pr Rare Earth Element Project, working capital, and other general corporate purposes. The offering is subject to market and other conditions, and there is no assurance regarding its completion, size, or terms. A.G.P./Alliance Global Partners is acting as sole placement agent.

The announcement comes as the company moves to expand its footprint in the rare earths sector, a critical component in the production of permanent magnets used in electric vehicles, wind turbines, and various defense applications. The Sarfartoq project, located in southwest Greenland, is a significant neodymium-praseodymium (Nd-Pr) deposit, which are key materials for high-strength magnets. By acquiring this project, Greenland Mines aims to bolster its position in the rare earth supply chain, which is currently dominated by China.

Greenland Mines operates with two divisions: Mining and Biotech. The Mining division focuses on the exploration and development of the Skaergaard Project in southeast Greenland and, subject to the closing of the previously announced transaction, the Sarfartoq project. The Biotech division includes Klotho’s KLTO-202, a primary indication for ALS. The company’s strategy is centered on building a multi-asset platform with exposure to rare earth magnet materials, precious metals, and selected midstream processing opportunities, while advancing its broader North Atlantic Critical Metals Corridor vision. This vision aims to link Greenland resources with allied downstream jurisdictions and industrial infrastructure, reducing dependence on non-allied sources for critical minerals.

The proposed offering is a strategic move to secure the necessary capital for the Sarfartoq acquisition, which aligns with the growing global focus on securing supply chains for critical minerals. As governments and industries seek to diversify away from dominant suppliers, projects like Sarfartoq are becoming increasingly important. The successful completion of the offering would enable Greenland Mines to advance its rare earth projects, potentially contributing to a more resilient and Western-aligned supply chain.
