Instinct Bio Technical Company Holdings Inc. (Nasdaq: BIOT) announced today that its subsidiaries have entered into a Memorandum of Agreement with Invitrx Therapeutics, Inc. (INVITRX) to advance two key workstreams: the U.S. launch of its GENREVER cosmetic brand and the supply of concentrated exosomes and conditioned media for clinics and a cell processing center in Indonesia.
Under the proposed collaboration, Instinct Bio intends to license the GENREVER trademark, while its subsidiary Artisans Production will contribute proprietary formulations and raw materials. INVITRX is expected to manufacture the products at its U.S. GMP manufacturing facility, positioning GENREVER as a premium Japanese cosmetics brand in the U.S. market, subject to regulatory requirements. The companies will also work together to support Indonesia's emerging regenerative medicine ecosystem, with INVITRX supplying concentrated exosomes and conditioned media for proposed clinics and an in-hospital cell processing center.
This collaboration builds on a six-year commercial relationship during which Instinct Bio has sourced principal raw materials from INVITRX. Tomoki Nagano, CEO of Instinct Bio, stated, "This collaboration represents an important step in our strategy to expand Instinct Bio's international platform. By bringing together the GENREVER brand, Artisans Production's proprietary formulations and INVITRX's U.S. GMP manufacturing capabilities, we believe we are creating a strong foundation for future growth in both the United States and Southeast Asia."
The agreement outlines a framework for the parties to negotiate definitive commercial agreements covering manufacturing, supply, and commercialization while progressing regulatory assessments. For Instinct Bio, this move is critical as it seeks to grow its international presence in regenerative medicine and longevity technologies. The U.S. cosmetics market offers significant revenue potential, while Indonesia's rapidly growing healthcare sector presents opportunities for establishing a localized regenerative medicine platform.
However, the press release includes cautionary language: the MOA is not a binding commitment, and there can be no assurance that definitive agreements will be reached or that the proposed initiatives will be completed. Risks include the ability to obtain regulatory approvals, manufacturing and supply chain challenges, and market acceptance.
Instinct Bio, a biotechnology company focused on regenerative medicine and longevity, operates through its subsidiaries Instinct Brothers Co., Ltd. and Artisans Production Co., Ltd. INVITRX is a U.S.-based biotechnology company operating a GMP manufacturing facility that develops and supplies cell-derived biological materials.
