Nano-X Imaging Ltd. (NASDAQ: NNOX), a company focused on transforming preventive healthcare through an integrated medical imaging and services platform, has announced a securities purchase agreement for a registered direct offering. The offering is expected to generate approximately $8 million in gross proceeds before fees and expenses, according to a press release.
The financing involves the sale of 8 million ordinary shares, or prefunded warrants in lieu thereof, along with warrants to purchase up to an additional 8 million ordinary shares. The combined purchase price is $1.00 per share and accompanying warrant. The warrants will have an exercise price of $1.15 per share, become exercisable six months after issuance, and expire five years after closing. The offering is expected to close on or about Aug. 7, 2026, subject to customary closing conditions.
Nano-X stated that it intends to use the net proceeds for working capital and general corporate purposes. A.G.P./Alliance Global Partners is serving as the sole placement agent for the transaction.
This capital raise comes at a time when Nano-X is advancing its mission to expand the reach of medical imaging beyond traditional hospital settings. The company’s ecosystem includes the Nanox.ARC, a cost-effective 3D multi-source digital tomosynthesis imaging system designed for ease of use and scalability; Nanox.AI, a suite of AI-based algorithms that augment interpretation of routine CT imaging to identify early signs of chronic disease; and Nanox.CLOUD, a cloud-based platform for secure data management and advanced imaging analytics. Additionally, Nanox.MARKETPLACE and USARAD Holdings provide access to remote radiology and cardiology experts, while Nanox Health IT delivers RIS, PACS, AI, dictation, and secure infrastructure solutions.
The offering underscores continued investor interest in Nano-X’s vision to lower barriers to adoption and improve utilization of medical imaging. By integrating imaging technology, AI, cloud infrastructure, clinical expertise, a marketplace, and health IT, Nano-X aims to enhance efficiency in routine imaging workflows, support early detection of disease, and improve patient outcomes.
For investors and industry observers, this funding round provides Nano-X with additional capital to execute its strategic plans, potentially accelerating the deployment of its preventive healthcare platform. The company’s focus on making imaging more accessible and affordable could have significant implications for healthcare delivery, particularly in underserved areas.
