BERLIN – PSI Software SE announced on Tuesday that the publication of its audited 2025 annual and consolidated financial statements, previously rescheduled to May 2026, will be further postponed until June 2026. The delay stems from the statutory audit's inability to be completed until the final outstanding condition of the tender offer by Warburg Pincus to PSI shareholders is fulfilled – specifically, approval from the Federal Ministry for Economic Affairs and Energy under investment control regulations.
PSI expects to receive such approval shortly, according to the company's statement. The financial results for the 2025 fiscal year remain in line with expectations and have already been reviewed by the auditor, PSI said. Once the approval is granted, PSI will publish the audited annual and consolidated financial statements without delay and convene the Annual General Meeting. The exact publication date will be announced as soon as it is determined.
The postponement highlights the regulatory hurdles that can affect corporate transactions and reporting timelines. For investors and stakeholders, the delay means continued uncertainty regarding the completion of Warburg Pincus's tender offer, which could have implications for PSI's ownership structure and strategic direction.
