Retension Pharmaceuticals Prices Upsized $45 Million IPO to Advance Hypertension Treatment

Retension Pharmaceuticals, Inc. (NASDAQ: RTSN), a clinical-stage biopharmaceutical company developing treatments for hypertension and other cardiovascular diseases, announced the pricing of its upsized initial public offering of 3,750,000 shares of common stock at $12 per share. The offering is expected to generate gross proceeds of $45 million before underwriting discounts, commissions and other offering expenses. The company also granted underwriters a 30-day option to purchase up to an additional 562,500 shares to cover over-allotments, if any.

Retension shares were expected to begin trading on the Nasdaq Capital Market on Oct. 9, 2026, under the ticker symbol RTSN. The offering is scheduled to close on or about Oct. 13, 2026, subject to customary closing conditions. Leerink Partners, Guggenheim Securities and Oppenheimer & Co. are serving as joint bookrunning managers, with Titan Partners acting as lead manager.

The company intends to use the net proceeds, together with existing cash and cash equivalents, to complete its Phase 2b clinical trial of RTN-001 for uncontrolled hypertension and to prepare for, support and advance a planned Phase 3 trial. Remaining funds will be allocated to general corporate purposes and operating expenses. RTN-001 is the company's lead clinical candidate, in development for patients with uncontrolled and resistant hypertension—a condition that affects millions worldwide and often requires multiple medications. The IPO's upsize reflects strong investor demand for late-stage cardiovascular assets, particularly those addressing unmet needs in hypertension management. If RTN-001 succeeds in Phase 2b and Phase 3 trials, it could offer a new option for patients whose blood pressure remains uncontrolled despite existing therapies. This would not only improve patient outcomes but also reduce long-term healthcare costs associated with cardiovascular complications. For the biotech sector, the successful listing could signal a reopening of the IPO window for clinical-stage companies with promising pipelines.
