Silver Bow Mining Secures Court Approval and Initial Closing for Montana Metallurgical Complex

Silver Bow Mining Corp. (NYSE American: SBMT) announced that the U.S. Bankruptcy Court for the District of Montana has approved the sale of specified Montana Tunnels Mining assets, including the Jefferson County Metallurgical Complex, to Silver Bow and its subsidiary, Silver Bow Tunnels Corp. The company also completed the initial closing under its asset purchase agreement after funding approximately $28.58 million into escrow to satisfy creditor obligations.

The escrow funds include approximately $4.27 million owed to Jefferson County and $20.78 million in specified obligations to the Montana Department of Environmental Quality. However, the initial closing does not transfer ownership of the Complex to Silver Bow. The company expects to acquire ownership at a final closing, subject to customary closing conditions, including shareholder approval for the issuance of common shares underlying contingent value rights and NYSE American approval.

This development is significant for Silver Bow as it seeks to expand its footprint in Montana’s historic mining districts. The company’s primary focus remains advancing the high-grade Rainbow Block Silver-Zinc Project in the Butte Mining District, but the potential acquisition of the Jefferson County Metallurgical Complex could play a role in its longer-term development plans. The Complex may provide processing infrastructure that could support Silver Bow’s broader exploration and development activities.

Silver Bow is targeting a suite of U.S.-designated Critical Minerals, including lead, copper, manganese, germanium, gallium, indium, antimony, and bismuth. These minerals are essential for various industries, including technology, defense, and renewable energy, and their domestic production is a priority for the United States. The company holds approximately 4,210 acres of patented mineral claims and approximately 1,427 acres of surface lands across multiple claim blocks in Silver Bow County, Montana.

The approval and initial closing mark a crucial step for Silver Bow, but the final closing remains contingent on shareholder and regulatory approvals. Investors and industry observers will be watching closely as the company undertakes technical, regulatory, and site work to evaluate the Complex and its potential role in Silver Bow’s future.
