Trilogy Metals Inc. (NYSE American: TMQ) (TSX: TMQ) has executed definitive agreements with the U.S. Department of War for a strategic equity investment of approximately $35.6 million, aimed at advancing exploration and development of the Upper Kobuk Mineral Projects (UKMP) in northwestern Alaska. The investment, previously announced, is structured in two parts: about $17.8 million will be invested directly in Trilogy Metals, and another approximately $17.8 million will be channeled through a transaction with joint venture partner South32 Limited. All proceeds are committed to the UKMP.
Upon completion of the transaction, the U.S. Department of War is expected to hold approximately 10% of Trilogy Metals on a non-diluted basis. The closing is anticipated in September 2026, subject to customary conditions. This investment underscores the strategic importance of the UKMP, which is located in the Ambler Mining District, one of the world's richest known copper-dominant districts.
The UKMP is a joint venture between Trilogy Metals and South32, with Trilogy holding a 50% interest through its ownership in Ambler Metals LLC. The project area spans approximately 190,929 hectares and hosts polymetallic volcanogenic massive sulfide (VMS) deposits containing copper, zinc, lead, gold, and silver, as well as carbonate replacement deposits with high-grade copper and cobalt mineralization. Exploration has focused on two key deposits: the Arctic VMS deposit and the Bornite carbonate replacement deposit.
This federal investment signals strong government backing for domestic production of critical minerals, particularly copper, which is essential for electrification, renewable energy infrastructure, and national security applications. By securing a stake in Trilogy Metals, the U.S. government aims to reduce reliance on foreign sources of these vital commodities.
Trilogy Metals' vision is to develop the Ambler Mining District into a premier North American copper producer while respecting subsistence livelihoods. The company has an agreement with NANA Regional Corporation, Inc., an Alaska Native Corporation, to ensure cooperative exploration and development with local communities.
