Amadeus Fire AG (ISIN: DE0005093108, Prime Standard) held its Annual General Meeting today in a virtual format, broadcast live from Frankfurt/Main, allowing shareholders to participate from any location. The meeting saw all agenda items approved by overwhelming majorities, signaling shareholder confidence in the company's management and strategic direction amid a challenging economic environment.
Key among the approvals was the provision of new Authorised Capital 2026, which allows the Management Board to increase the share capital by up to 30% over the next five years, replacing the previous Authorised Capital 2021. This resolution passed with 78.17% approval. The Management Board emphasized that this capital authorization provides flexibility for future growth initiatives and strategic investments.
Shareholders also voted overwhelmingly to discharge the Management Board and Supervisory Board for the 2025 financial year, and approved the remuneration report for both boards. The election of the auditor for 2026 and the auditor for sustainability reporting received broad support, as did the re-election of shareholder representatives to the Supervisory Board for a three-year term.
Notably, the proposal to not pay a dividend and to carry forward the net retained profit of Amadeus Fire AG (German GAAP (HGB)) to new account was approved by nearly 100% (99.88%). This decision reflects the company's negative consolidated result for the 2025 financial year, a consequence of the persistently challenging economic conditions. Despite this, the Management Board reaffirmed its guidance for 2026, expecting consolidated revenue between EUR 362 million and EUR 394 million and operating EBITA* between EUR 20 million and EUR 31 million.
During the virtual meeting, shareholders engaged in a transparent dialogue with the Management Board, asking live questions that were answered comprehensively. Topics included current business developments and strategic priorities, with a focus on digital transformation. The company continues to invest selectively in modern learning platforms and IT infrastructure, particularly through its 'Corporate AI Learning' initiative, which aims to strengthen competitiveness in a changing market.
