AO Capital Partners Completes UGIZ Acquisition, Clearing Path for Venezuela Oil and Gas Expansion

Miami-based Unique Global Innovative Solutions Corporation (OTC: UGIZ) announced the completion of its acquisition by AO Capital Partners, an affiliate of GBS Capital, according to a press release distributed via NEWMEDIAWIRE. The closing follows an extended negotiation process and positions the company to enter oil and gas service operations in Venezuela under a new management team led by Javier Sanguino García as Chief Executive Officer.

The acquisition matters for investors and the energy services sector because AO Capital Partners chose to restructure and convert a significant portion of UGIZ’s legacy convertible debt before closing, rather than inheriting unresolved liabilities. This deliberate approach was intended to limit dilution and protect long-term shareholders. The company said the restructuring involved hard-fought negotiations with debt holders, in some cases resulting in holders accepting reduced terms in support of the go-forward direction. UGIZ expressed appreciation to those debt holders for their willingness to accept a discount, calling it a meaningful show of conviction in the incoming management team.

Incoming CEO Javier Sanguino García acknowledged that the process took longer than many investors and common shareholders may have expected and that this may have caused frustration. “But I want to be clear: we did not waste a single day of this time. We’ve been planning ahead the entire way,” Sanguino García said. He noted he has personally made several trips to Venezuela in preparation for the closing so the company is positioned to hit the ground running on operations. “We believe this is a strong beginning, and we expect the Company to strengthen considerably from here,” he added.

With the acquisition complete and the capital structure substantially cleaned up, UGIZ intends to move quickly to establish its oil and gas service operations in Venezuela, drawing on Sanguino García’s more than 30 years of oilfield services and operations experience across Latin America. The company’s plans could be significant for Venezuela’s energy service market, which has faced years of underinvestment, though the press release did not provide specific operational timelines or financial details.

The announcement also included forward-looking statements cautioning that planned travel, event participation, business development and future activities are subject to risks and uncertainties, including general economic and business conditions, competitive and technological factors, availability and cost of capital, retention of management and key employees, execution of growth initiatives and changes to planned events. Readers were cautioned not to place undue reliance on such statements. Media contact information was provided through Crossfield Energy at https://crossfield.energy/.
