Beeline Holdings, Inc. (NASDAQ: BLNE), a technology-driven mortgage platform, announced today that it has signed a non-binding letter of intent (LOI) to acquire TYTL Corp. in an all-stock transaction. The move would integrate Beeline's AI-powered mortgage, Non-QM lending, title, and settlement platform with TYTL's blockchain-enabled residential equity infrastructure, creating a combined platform that could allow qualified homeowners to access home equity without incurring additional debt.

The companies stated that the combined platform would also provide institutional investors with access to real estate-backed digital securities. Management estimates an initial addressable market of approximately $1 trillion, based on the number of qualifying U.S. homeowners who could benefit from this type of equity access.

According to the press release, Beeline and TYTL have spent more than a year integrating TYTL's Regulation D-compliant digital securities platform with Beeline's lending and title operations. TYTL has already completed its first blockchain-recorded residential equity transactions involving homes valued at more than $1 million. The current portfolio is valued at about 26% above aggregate acquisition cost, indicating early traction and potential for growth.

The acquisition is expected to generate higher revenue per transaction for the combined company, build a treasury of real estate-backed digital assets, and create a revenue stream less dependent on interest rates. This diversification could be significant for Beeline, as traditional mortgage lending is heavily influenced by interest rate fluctuations.

This strategic move positions Beeline at the intersection of two emerging trends: the application of artificial intelligence in mortgage origination and the use of blockchain for asset tokenization. By merging these technologies, the company aims to modernize how homeowners access the equity in their homes, potentially offering an alternative to traditional home equity loans or lines of credit.
