Redwood AI Corp. (CSE: AIRX) (OTCQB: RDWCF) (Frankfurt: Y0N) (WKN: A422EZ) has completed its acquisition of all issued and outstanding shares of Quantum.IQ Technologies Inc., a Vancouver-based quantum cybersecurity company. The acquisition, which was announced via press release, positions Redwood to address the growing threat that quantum computing poses to current encryption standards.
Quantum.IQ, now a wholly owned subsidiary of Redwood, specializes in software that helps organizations assess and prepare their encryption systems for future quantum-enabled cyber threats. Its Post-Quantum Cryptography (PQC) platform is designed for high-security sectors including government, defence, financial services, and critical infrastructure. The platform offers a range of capabilities, from cryptographic asset discovery and Cryptographic Bill of Materials creation to standards alignment, vulnerability management, migration planning, continuous monitoring, and executive-level reporting.
The acquisition is a strategic move for Redwood, which primarily focuses on using artificial intelligence to accelerate chemistry research and development. By integrating Quantum.IQ's cybersecurity solutions, Redwood expands its technology base to include critical security infrastructure planning. This diversification could be particularly appealing to clients in regulated industries who need to prepare for the eventual advent of quantum computers, which are expected to break many of the encryption methods currently in use.
Under the terms of the deal, Redwood issued up to 14,033,558 common shares at a deemed price of $2.98 per share. This includes 7,033,558 shares placed in staged escrow over 24 months, and up to 7 million additional shares in milestone escrow, tied to specific customer and revenue criteria. Additionally, 50,000 shares were issued as an administrative fee and 100,000 shares as a finder's fee.
This acquisition underscores the growing importance of quantum-readiness in cybersecurity. As quantum computing advances, organizations must proactively update their encryption protocols to protect sensitive data. Quantum.IQ's tools provide a roadmap for this transition, making the combined company a more comprehensive partner for clients facing these challenges.
