Shelfie-Tech Closes 70% Acquisition of Aspect Information Systems in US$1.58 Million Deal

Shelfie-Tech Ltd. (CSE: SHLF) (OTCQB: SHLFF) has closed its previously disclosed acquisition of a 70% interest in Aspect Information Systems Ltd. on a fully diluted basis, the company announced. The completion marks a formal step in a transaction large enough to qualify as a significant acquisition under National Instrument 51-102, a designation that carries disclosure obligations for reporting issuers in Canada.

Under the terms, Shelfie-Tech paid total consideration of approximately US$1.58 million to Aspect's sole shareholder. That comprised about US$1.23 million in cash and 269,231 Shelfietech common shares valued at US$350,000. The shares carry a statutory hold period expiring March 5, 2027, meaning the seller cannot freely trade them before that date.

Shelfie-Tech also agreed to provide Aspect with a US$595,000 convertible loan. Of that amount, US$170,000 was advanced at closing, with the remaining US$425,000 due by Jan. 31, 2027. The loan matures on the earlier of Jan. 1, 2031, or the date Aspect's former sole shareholder ceases to hold shares in Aspect. At maturity, Shelfie-Tech may elect repayment or conversion into Aspect shares based on a pre-money fully diluted valuation of approximately US$3.32 million, or agree to an extension.

The structure matters because it gives the acquirer both immediate majority control and a path to deeper exposure. The convertible loan, priced against a valuation more than double the headline consideration, means conversion could materially increase Shelfie-Tech's economic stake depending on how the loan is settled. The staged funding also spreads cash outlay across two deadlines rather than concentrating it at closing.

Shelfie-Tech describes itself as a technology company focused on shelf inventory management solutions for the retail industry, particularly large grocery stores and supermarkets. Its offering includes a robotic retail shelf monitoring system built on self-developed proprietary software that uses machine learning and image processing algorithms to automate shelf inventory management. The patent-pending technology targets a segment where stock accuracy directly affects sales and labor costs.

For investors, the closing converts a disclosed intention into a completed transaction and shifts attention to integration and the funding schedule tied to the convertible loan.
