Silicon Catalyst Angels, a semiconductor-focused angel investment group, joins a previously announced strategic semiconductor investor from the first close, strengthening Edgewater's investor base with industry expertise and capital. Edgewater Chairman Brian Imrie also increased his investment, demonstrating insider alignment with the company's direction. The combined investments total $717,332.70 from the issuance of 11,955,545 units, with the second tranche raising $287,979.96.
Edgewater's patented Spectrum Slicing technology aims to redefine Wi-Fi by enabling multiple concurrent channels in a single band, delivering up to a 10x improvement in performance and 50% lower latency, even for legacy devices. This innovation addresses the growing congestion in Wi-Fi networks, particularly as Wi-Fi 7 and beyond utilize wider channels in dense, partially occupied spectrum. The private placement details include each unit consisting of one common share and one warrant, with warrants exercisable at $0.09 for two years. The securities issued in the second tranche are subject to a statutory hold period until January 9, 2027, and the closing remains subject to final acceptance by the TSX Venture Exchange. Imrie's participation constitutes a related party transaction under MI 61-101, with exemptions expected for formal valuation and minority shareholder approval as his involvement does not exceed 25% of the company's market capitalization.
