Market Street Capital Advises on $52.2 Million Sale of Dulworth Enterprises Assets to L.B. Foster Subsidiary

Market Street Capital, a boutique investment banking and advisory firm, announced it served as exclusive financial advisor to Dulworth Enterprises Inc. on the sale of substantially all assets of its residential wastewater precast products and Aeris Aerobics® treatment systems business to CXT Incorporated, a subsidiary of L.B. Foster Company (NASDAQ: FSTR). The approximately $52.2 million cash transaction closed Oct. 28, 2026.

Based in Rice, Texas, Dulworth is a family-founded manufacturer of precast concrete wastewater solutions for the residential market, including its proprietary Aeris Aerobics® line of aerobic treatment technology. Market Street Capital managed the sale process, engaged prospective buyers and assisted with negotiations through closing. The transaction combines Dulworth’s wastewater treatment products and manufacturing capabilities with CXT’s precast concrete operations.

Dulworth Co-Founder and President Tommy Dulworth credited Market Street Capital with guiding the family through the transaction, including coordinating legal counsel, financial information, audits and due diligence while allowing management to remain focused on business operations. The deal highlights the role of specialized advisory firms in facilitating middle-market transactions.

For L.B. Foster, the acquisition expands its precast concrete footprint into residential wastewater treatment, a niche with recurring demand driven by housing and environmental regulations. The addition of Dulworth’s Aeris Aerobics® technology could strengthen CXT’s product offerings and cross-selling opportunities. Investors can track L.B. Foster’s performance through L.B. Foster Company (NASDAQ: FSTR) market research.
