Enapter AG Launches €13 Million Capital Increase Backed by Runshihua Group to Fund Asset-Light Shift

Enapter AG has launched a cash capital increase with subscription rights, offering shareholders the opportunity to subscribe for up to 13,017,479 new shares at a price of €1.00 each, for gross proceeds of up to €13,017,479.00. The subscription period runs from 4 November to 18 November 2026, with a ratio of two existing shares entitling the holder to subscribe for one new share. Over-subscription is permitted, but exchange trading of the subscription rights is not planned. The new shares will be included in trading on the regulated market of the Frankfurt Stock Exchange (General Standard) following admission.

The capital measure is significant because it comes with a backstop agreement from RS Energy Technology Limited, Hong Kong, a company of the Runshihua Group. This strategic investor has committed to subscribe for any new shares not placed in the subscription offer, including the over-subscription offer, up to €12 million, but not exceeding a 25% minus one share stake in the company after completion. That commitment reduces the risk that the capital increase fails to raise the targeted amount, providing a degree of certainty for Enapter’s financing plan.

Enapter intends to use the net proceeds to a substantial extent to repay existing liabilities, with the remainder financing working capital. The company described the measure as a decisive building block in completing its strategic realignment toward an asset-light business model with partner-based production in China. CEO Dr Jürgen Laakmann said the Runshihua Group’s financial commitment and hydrogen expertise make the transformation possible, adding that together they can continue along the path taken.

The announcement matters for stakeholders across the green hydrogen sector because Enapter is a global greentech company that develops and supplies anion exchange membrane (AEM) electrolysers for green hydrogen production. Its patented AEM technology avoids reliance on expensive and rare raw materials such as iridium and, thanks to a modular design, enables efficient and scalable production even where solar and wind power supply fluctuates. Thousands of Enapter AEM electrolysers are already in use at more than 360 customers in over 55 countries.

For investors, the capital increase will test appetite for a company reshaping its manufacturing footprint. The involvement of a Hong Kong-based strategic investor could also signal growing Asian interest in European hydrogen technology. Enapter’s shares trade under ISIN DE000A255G02. The Management Board has invited interested parties to an investor call in English on Tuesday, 10 November 2026, at 11:00 a.m. CET, with registration available through the registration link. Further details about the company are available on the Enapter website, and the original release can be viewed on www.newmediawire.com.
